A practical structure for a commercial funding data room, including corporate, financial, transaction and security information.
A well-organised data room helps advisers, lenders and investors understand a transaction efficiently. It also reduces the risk that different versions of the same number or document circulate at the same time. The aim is not to upload every document the business has ever produced, but to provide the material information required to understand the company, the proposed transaction and the principal risks.
Use a clear folder structure
The folder structure should follow the logic of the transaction. A practical arrangement separates engagement administration, corporate and ownership information, transaction documents, historical financials, commercial evidence, contracts, assets and security, the financial model and final investment materials. Internal risk assessments, screening results and privileged advice should be stored separately with restricted access.
Control document versions
Every active document should have a clear title, date and version. Drafts should not be left beside approved copies without an obvious status. Superseded documents should be archived rather than deleted, preserving the audit trail while preventing accidental circulation.
Reconcile before uploading
Documents are most useful when they agree. The funding amount and use of funds should reconcile across the proposal, model and term sheet. Debt balances should reconcile to statements and agreements. Ownership should agree with current filings, the capitalisation table and shareholder documents. Where figures differ for a legitimate reason, include a short reconciliation.
Separate evidence by quality
A signed customer contract, a paid invoice and a sales-pipeline spreadsheet should not be presented as equivalent. Label contracts, conditional orders, letters of intent and management pipeline estimates accurately. The same principle applies to valuations, forecasts and management representations.
Protect personal and confidential information
Collect only what is needed for the relevant stage. Passport copies, home addresses, bank information and screening reports should be shared through secure systems with access restricted to the people who require them. Do not use a general website upload form for identity documents or bank statements.
Maintain a live request list
A simple tracker should show what was requested, what was received, the document date, whether it has been reviewed, any issue identified and who owns the next action. The data room is ready when the transaction can be explained consistently, material claims can be traced to evidence and unresolved matters are logged openly.
